1. Agreement

By creating an account, joining the waitlist or using AI Memory Vault (the "Service") or this website, you ("User", "you") agree to these Terms and Conditions ("Terms") with Hushkey Labs, Inc., a Delaware corporation ("Hushkey Labs", "we", "us"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (16 in the EEA/UK) to use the Service. By using the Service, you represent that you meet this requirement.

3. Your account

You are responsible for maintaining the security of your passkey and account.
You are responsible for all activity that occurs under your account.
Notify us immediately at hello@hushkey.io if you suspect unauthorised access.
One account per person. You may not share accounts.

4. Your vault content

You own your data. We claim no ownership over anything you store in your vault.

You grant us a limited, non-exclusive licence to store, process and transmit your vault content solely for the purpose of providing the Service to you. This licence ends when you delete your content or close your account.

You are responsible for ensuring that:

You have the right to store the content you upload
Your content does not violate applicable laws
Your content does not infringe third-party intellectual property rights

5. Prohibited uses

You may not use the Service to:

Store or transmit illegal content
Attempt to gain unauthorised access to our systems or other users' data
Harm, harass or defraud others
Reverse engineer or attempt to extract the source code of our software
Resell or commercially exploit the Service without our written permission
Violate any applicable law or regulation

6. AI agent access

When you grant an AI agent access to your vault:

You are solely responsible for your choice of agent and the permissions you grant
We are not responsible for actions taken by third-party AI agents using your data
We do not endorse any third-party AI agent
All agent access is logged and can be revoked by you at any time

7. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security or legal reasons. We will provide advance notice where reasonably possible.

8. Fees & payment

The Service is currently in early access / beta and is provided free of charge. Paid plans will be introduced in the future. We will notify you in advance of any pricing changes. Joining the waitlist is free and does not guarantee access, a launch date, or particular features or pricing.

9. Termination

By you: you may close your account at any time from the app settings. Your vault data will be permanently deleted within 30 days. You can leave the waitlist at any time by emailing hello@hushkey.io.

By us: we may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice unless legally prohibited.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted or secure at all times.

11. Limitation of liability

To the maximum extent permitted by applicable law, Hushkey Labs shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or goodwill, arising from your use of the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim (or $100 if you have paid nothing).

Some jurisdictions do not allow limitation of liability for personal injury or death caused by negligence, or for fraud. Nothing in these Terms limits liability where such limitation is prohibited by law.

12. Indemnification

You agree to indemnify and hold harmless Hushkey Labs, its officers, directors, employees and agents from any claims, damages or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Hushkey Labs, Inc. is incorporated in the State of Delaware. For users in the EEA/UK, mandatory consumer protection laws in your country of residence may apply in addition to these Terms.

Any dispute shall first be attempted to be resolved informally by contacting hello@hushkey.io. If unresolved within 60 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.

Class action waiver: to the extent permitted by law, you waive your right to participate in class action litigation.

14. Changes to these Terms

We will notify you of material changes at least 14 days in advance by email or in-app notification. Continued use after that date constitutes acceptance. These Terms are reviewed at least once a year; the next scheduled review is 10 October 2027.
